These Terms and Conditions (“Terms”) govern your access to and use of the VorteXPro Academy website (www.vortexpro.in), its training programmes, digital content, and related services (collectively, the “Services”) operated by VorteXPro Private Limited (CIN: U62099KA2026PTC221566), a company incorporated under the Companies Act, 2013, with its registered office in Bangalore 560049, Karnataka, India (“VorteXPro”, “Company”, “we”, “us”, or “our”).

By accessing our website, creating an account, or purchasing any programme, you (“Learner”, “you”, or “your”) agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

• You must be at least 18 years of age to register for or purchase any programme on VorteXPro Academy. By using our Services, you represent that you are 18 or older and legally capable of entering into a binding contract under the Indian Contract Act, 1872.
• If you are registering on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
• Our Services are available to learners in India and internationally, including GCC countries. You are responsible for compliance with any local laws applicable to your use of the Services from your jurisdiction.

2. Account Registration

• You must provide accurate, current, and complete information during registration, and keep your account information updated.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@vortexpro.in of any unauthorised use.
• Accounts are personal and non-transferable. Sharing account access with others is prohibited and may result in suspension without refund.

3. Programmes, Content and Delivery

• VorteXPro Academy offers professional training programmes including live online sessions (via Zoom or similar platforms), recorded content, downloadable materials, and certification assessments.
• Programme descriptions, schedules, durations, and instructors are indicative and may be updated. We will make reasonable efforts to notify enrolled learners of material changes to live session schedules.
• Live sessions may be rescheduled due to instructor unavailability, technical issues, or insufficient enrolment. In such cases, you will be offered an alternative date or, where applicable under our Refund Policy, a refund.
• Access to recorded content and materials is provided for the duration specified on the individual programme page. Unless stated otherwise, access is granted for personal, non-commercial use only.
• Certificates are issued upon successful completion of programme requirements, including attendance and assessments where applicable. Certificates may be verified through our Certificate Verification page.

4. Fees, Payment and Taxes

• All programme fees are listed on the website in Indian Rupees (INR) unless otherwise stated. International learners may be shown prices in other currencies where supported.
• Payments are processed securely through our authorised payment partners, including Razorpay (India) and PayPal/Stripe (international). We do not store your card or banking details on our servers.
• All fees are inclusive or exclusive of GST as indicated at checkout. Tax invoices will be issued in accordance with the Goods and Services Tax Act. GST records are retained as required by law.
• Enrolment is confirmed only upon successful receipt of full payment. We reserve the right to cancel enrolments where payment fails, is reversed, or is flagged as fraudulent.
• Prices are subject to change without notice; however, changes will not affect enrolments already confirmed and paid.

5. Cancellations and Refunds

• Cancellations and refunds are governed by our Refund Policy, published separately on this website and incorporated into these Terms by reference.
• In summary: refund eligibility depends on the programme type and the time of the cancellation request relative to the programme start date. Certain digital products and discounted purchases may be non-refundable, as specified on the relevant programme page.
• Refunds, where approved, will be processed to the original payment method within the timelines stated in the Refund Policy.

6. Intellectual Property

• All content on the website and within our programmes — including course materials, videos, presentations, frameworks, templates, playbooks, assessments, logos, and branding — is the intellectual property of VorteXPro Private Limited or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international laws.
• Your enrolment grants you a limited, personal, non-exclusive, non-transferable licence to access and use the materials for your own professional development. You may not copy, reproduce, distribute, resell, record, publish, or create derivative works from any programme content without our prior written consent.
• Recording, screen-capturing, or redistributing live sessions is strictly prohibited and may result in immediate termination of access without refund, in addition to legal remedies.
• The names “VorteXPro” and “VorteXPro Academy”, and the VorteXPro logo, are trademarks of VorteXPro Private Limited. Unauthorised use is prohibited.

7. Learner Conduct

• You agree to behave professionally and respectfully in all live sessions, community forums, and communications with instructors, staff, and fellow learners.
• You must not disrupt sessions, harass others, share offensive content, misrepresent your identity or credentials, or use the Services for any unlawful purpose.
• We reserve the right to remove any learner from a session or programme for misconduct, without refund, at our sole discretion.

8. Certificates and No Guarantee of Outcomes

• Certificates issued by VorteXPro Academy certify programme completion. They are not university degrees, government-recognised qualifications, or professional licences unless expressly stated.
• While our programmes are designed to improve professional skills and career prospects, we make no guarantee of employment, promotion, salary increase, interview success, or any specific career outcome.
• Testimonials on our website reflect individual experiences and do not guarantee similar results.

9. Third-Party Services

• Our Services rely on third-party platforms including payment gateways (Razorpay, PayPal, Stripe), video conferencing (Zoom), and hosting providers. Your use of those platforms is subject to their respective terms and privacy policies.
• We are not responsible for outages, errors, or data practices of third-party services, though we will make reasonable efforts to minimise disruption to your learning experience.

10. Privacy and Data Protection

• Our collection and use of your personal data is governed by our Privacy Policy, which complies with the Digital Personal Data Protection Act, 2023 (DPDPA) and, where applicable, the EU General Data Protection Regulation (GDPR).
• By using our Services, you consent to the processing of your personal data as described in the Privacy Policy, available on this website.

11. Disclaimers and Limitation of Liability

• The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
• We do not warrant that the website will be uninterrupted, error-free, or free of viruses or harmful components.
• To the maximum extent permitted by applicable law, the total aggregate liability of VorteXPro Private Limited for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us for the specific programme giving rise to the claim.
• We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or career opportunities.
• Nothing in these Terms limits liability that cannot be limited under Indian law, including liability for fraud.

12. Force Majeure

• We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemics, internet or power outages, government actions, or third-party platform failures. Affected sessions will be rescheduled where reasonably possible.

13. Suspension and Termination

• We may suspend or terminate your account and access to the Services, without refund, if you breach these Terms, engage in fraudulent activity, infringe our intellectual property, or misuse the Services.
• You may close your account at any time by writing to support@vortexpro.in. Closure does not entitle you to a refund except as provided in the Refund Policy.

14. Changes to These Terms

• We may update these Terms from time to time. The “Last Updated” date at the top reflects the latest revision. Material changes will be notified via the website or email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of India.
• Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably by writing to our Grievance Officer. If unresolved within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts at Bangalore, Karnataka, India.
• Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
